Terms of Use
The agreement between you and Longipath that governs your use of Longipath — including the member portal, connected-device integrations, and the in-app AI assistant.
1. The agreement
These Terms of Use (“Terms”) form a contract between you and Longipath (“Longipath,” “we,” “us”). By creating an account or using the Longipath website or member portal (together, the “Service”), you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to use the Service. You must provide accurate, current information during signup and keep it up to date.
3. Accounts & security
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly at support@longipath.ca if you suspect unauthorized access. We may suspend or terminate accounts we reasonably believe are compromised or misused.
4. Nature of the service
Longipath is a member portal for a preventive-health program delivered in partnership with licensed clinicians. It provides:
- A dashboard for your biomarker and lab results.
- Educational material tailored to your program track.
- A way to message your care team and review your care plan.
- Optional integrations with wearables such as Oura.
- An AI assistant that helps you interpret your own results in context.
Clinical services — diagnosis, prescriptions, and treatment decisions — are provided by licensed clinicians through their own professional relationship with you, governed by the applicable health-profession legislation and each clinician's own consent forms. The portal is a tool for that relationship; it is not itself the practice of medicine.
5. AI assistant
The AI assistant generates responses using a large language model hosted in a private Microsoft Azure OpenAI deployment. You understand and agree that:
- AI output can be incomplete, outdated, or wrong. Don't rely on it for decisions without confirming with a qualified professional.
- We provide biomarker metadata (name, value, units, reference range, status) to the model so the response is relevant. We do not send your name, birthdate, or contact details.
- Under Microsoft's standard Azure OpenAI terms, inputs and outputs are not used to train foundation models, and are retained only transiently for abuse monitoring.
- The AI assistant is not for emergencies. If you describe symptoms of a medical emergency, seek help from emergency services immediately.
6. Connected devices (Oura and similar)
If you connect a wearable (for example, an Oura Ring), you authorize Longipath to receive data from that device's provider through their OAuth flow. We only fetch the categories you approve on the provider's consent screen. See the Wearables section of the Privacy Policy for details.
Each device provider's own terms and privacy policy apply to their handling of your data. Longipath is not responsible for the accuracy of device measurements, outages on the provider's side, or changes the provider makes to its API.
7. Acceptable use
When using the Service, you agree not to:
- Impersonate anyone, misrepresent your identity, or access someone else's account without permission.
- Attempt to probe, scan, reverse-engineer, or bypass our security controls.
- Scrape, copy, or build a derivative dataset from Service content in bulk.
- Upload content that is illegal, infringing, or harmful.
- Use the Service to transmit malware or automate abusive traffic.
- Attempt to extract system prompts, training data, or credentials through the AI assistant.
8. Our intellectual property
The Service, its source code, design, and content (other than your content and third-party content) are owned by Longipath or its licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial purposes as a member. All other rights are reserved.
9. Your content
You retain ownership of the content you submit to the Service (for example, messages, notes, uploaded lab results). You grant Longipath a limited license to host, process, display, and transmit that content solely to operate the Service for you and your care team. We do not use your content for any commercial purpose beyond that, and we do not use it to train AI models.
10. Third-party services
The Service integrates with third parties including Microsoft Azure, Cloudflare, Oura, and email providers. Your use of those services through Longipath is subject to their own terms. We are not responsible for third-party outages, changes, or for content that originates from them.
11. Termination
You may close your account at any time from the portal or by contacting us. We may suspend or terminate your access if you materially violate these Terms, if we're required to by law, or if continued access would create a safety or security risk.
On termination, your access ends and we delete or anonymize your data in line with the retention periods in the Privacy Policy. Terms that by their nature should survive (intellectual property, disclaimers, limits of liability, indemnity, governing law) will survive.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, uninterrupted operation, or freedom from error.
We do not warrant that (a) AI output will be correct, (b) wearable data will be complete or accurate, (c) the Service will be available without interruption, or (d) defects will be corrected. You use the Service at your own discretion and risk.
13. Limitation of liability
To the maximum extent permitted by law, in no event will Longipath, its affiliates, or its service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service — even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or related to the Service will not exceed the greater of (a) the amounts you have paid to Longipath for the Service in the 12 months before the event giving rise to the claim, or (b) CA$100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, fraud, or bodily injury caused by our negligence.
14. Indemnity
You agree to defend, indemnify, and hold harmless Longipath and its personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (a) your violation of these Terms, (b) your misuse of the Service, or (c) your violation of any third-party right.
15. Governing law & dispute resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Courts located in British Columbia have exclusive jurisdiction over any dispute arising out of these Terms, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual-property rights.
16. Changes to these terms
We may update these Terms from time to time. If changes are material, we'll notify you inside the portal or by email before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
